Agreement to be Bound 
By agreeing to create an account with Artisan Productions & Design,  (“Artisan Productions”), completing the registration process and clicking the “I accept” button, you, as a Customer of Artisan Productions (“Customer”) agree to abide by, and be bound by, the terms and conditions contained in this Terms of Service Agreement (“TOS” or “Agreement”). From time to time, we may make changes to this Agreement. If we do, we will notify you by posting the changes here. Continuing to use Artisan Productions Services after we have posted notice of these changes means that you agree to the changes.

Artisan Productions TOS Applicable to all Customers

The following TOS apply Content Management System Installation Service.

Standard License
Subject to the provisions of this Agreement and the limitations set forth below, Artisan Productions hereby grants to Customers a limited, non-exclusive, non-transferable, revocable license (the "Standard License") for the use of the Artisan Productions Services during the Term of this Agreement.

Service Level Agreement
The Service Level Agreement is a contract between Customers of the Content Management System which defines the terms of Artisan Productions' responsibilities there under and credits due to Customer if those responsibilities are not met. The entire Artisan Productions liability and Customer's exclusive remedies against Artisan Productions (whether in contract, tort, warranty, or otherwise) are set forth in the Service Level Agreement. The terms of the Service Level Agreement are incorporated into this Agreement by reference the same as if fully set forth.

Fees
Customers agree to pay to Artisan Productions the fees applicable to the Artisan Productions Services selected pursuant to the current Artisan Productions pricing schedule.

1. Authorization. The above-named client is engaging Artisan Productions and Design and Igor Pilichev, a sole proprietor, located at 4366 Auburn Blvd., Sacramento, California 95841, as an independent contractor for the specific project of developing and/or improving a World Wide website to be installed on the client's web space on a web hosting service's computer. The client hereby authorizes Artisan Productions and Design to access this account, and authorizes the web hosting service to provide Artisan Productions and Design with "write permission" for the client's webpage directory, cgi-bin directory, and any other directories or programs which need to be accessed for this project. The client also authorizes Artisan Productions and Design to publicize their completed website to Web search engines, as well as other Web directories and indexes. 
2. Basic Business Website Design Plan Elements.  
•	E-mail/phone consultation (Up to 2 hours total general Internet orientation education, marketing strategy, Web design consultation, and helping clients learn to use their own webpage editor. Telephone long distance charges are in addition to package rates quoted. Additional education and consultation is at our hourly rate.) 
•	100 % Custom Design Type with two different design concepts and up to three revision rounds.
•	Search Engine Optimization and cross-browser compatibility for every HTML Page.
•	Words of text supplied by the client. WebPages of more than 5,000 words of text may be subject to additional fees, especially if they require a great deal of formatting.) 
•	Links to external page. 
•	Custom Graphics. Masthead graphic on first page (simple custom graphic incorporating company logo). Top-of-page graphic for all other pages in your website. Colorful lines and bullets, and colored and textured background. 
•	Photos and other misc. graphic images supplied by client.
•	Installation of webpages on the client's web hosting service. 
•	Minor updates and changes to existing webpages for six months, subject to the limits outlined below. Additional changes billed at hourly rate. For online stores, this includes only "regular" pages, not product pages or the ordering system pages. 
•	Search Engine Submit to at least a dozen major Web search engines, such as Google, AltaVista, InfoSeek, WebCrawler, Lycos, HotBot, etc. 
•	E-mail response link on each webpage to any e-mail address the client designates. 
•	Feedback or guest book form (Basic CGI program included. Includes up to 20 fields. Extra charges may be incurred if the client's web hosting service does not use a Unix operating system. Not included in the package price for sites smaller than 3 pages. This is not included in online stores, since the shopping cart software is a functional equivalent.) 
•	Navigation bar with links or roll-over buttons for internal navigation.
3. Standard Website Packages only.  This website includes up to ten webpages. In case the client desires additional standard webpages beyond the original number of pages specified above, the client agrees to pay Artisan Productions and Design an additional charge billed at an hourly rate. Graphics or photos beyond the allowed amount in the chosen Design Plan shall be billed at an additional charge at an hourly rate as well. 
4. Maintenance and Hourly Rate. This agreement includes minor webpage maintenance to regular webpages (not store product pages) over a six-month period, including updating links and making minor changes to a sentence or paragraph. It does not including removing nearly all the text from a page and replacing it with new text. If the client or an agent other than Artisan Productions and Design attempts updating the client's pages, time to repair webpages will be assessed at the hourly rate, and is not included as part of the updating time. The six-month maintenance period commences upon the date Artisan Productions and Design receives the final payment for completed website.  
Changes requested by the client beyond those limits will be billed at the current hourly rate. This rate shall also govern additional work authorized beyond the maximums specified above for such services as general Internet orientation education, marketing consulting, webpage design, editing, modifying product pages and databases in an online store, and art, photo, graphics services, and helping clients learn how to use their own webpage editor. CGI or PHP programming charges (if any) are not included in this rate. Price for each additional basic page not included in a package is $119.00.
5. Content. All content must be provided within 10 business days or a specific amount of time agreed upon after the retainer in order to avoid delays in the project. This will make sure that the project gets completed on time.
6. Changes to Submitted Text. Please send us your final text. Time required to make substantive changes to client-submitted text after the webpages have been constructed will be additional, billed at the hourly rate. 
7. Web Hosting. The client understands that any web hosting services require a separate contract with a web hosting service. The client agrees to select a web hosting service which allows Artisan Productions and Design full access to the website and a cgi-bin directory via FTP and telnet. The client further understands that if the web hosting service's operating system is not a Unix system, standard CGI software may not work, and providing a substitute may incur additional charges. 
8. Completion Date. Artisan Productions and Design and the client must work together to complete the website in a timely manner. We agree to work expeditiously to complete the website no later than twelve business days after receiving from the Client initial payment and all of the final text, graphics and other to be used on the site content.
If the client does not supply Artisan Productions and Design complete text and graphics content all webpages contracted for within six weeks of the date this contract was signed, the entire amount of the contract becomes due and payable. If the client has not submitted complete text and graphics content within two months after signing of this contract, an additional continuation fee of 10% of the total contract price will also be assessed each month until the website is advertised. 
9. Payment of Fees. Fees to Artisan Productions and Design are due and payable on the following schedule: 50% upon signing this contract, 50% when the webpages have been constructed according to the client's original written specifications. If the total amount of this contract is less than $500, the total amount shall be paid upon signing this contract. In case the client has not secured Web space on a web hosting service by the time the webpages are completed, the webpages may be delivered to the client on a disk, uploaded and hosted by Artisan Productions and Design for at least up to six months. Advertising the pages to Web search engines and updating occur only after the final payment is made. All payments will be made in US funds. Final payment is due on all projects before final project files are divulged or the Website is uploaded to the final web server. We cannot make any exceptions on this policy. If you are in a rush, please make financial arrangements for the project before it begins so we can make sure to do everything within your time constraint. We will allow 15 business days after site or project completion for payment. If the final payment has not been met by this time, you will be charged an 8% penalty fee of the remaining balance and an additional 5% of accrued balance every month thereafter. Artisan Productions and Design reserves  the right to remove webpages from viewing on the Internet until final payment is made. In case collection proves necessary, the client agrees to pay all fees incurred by that process. This agreement becomes effective only when signed by Artisan Productions and Design. Regardless of the place of signing of this agreement, the client agrees that for purposes of venue, this contract was entered into in Sacramento County, California, and any dispute will be litigated or arbitrated in Sacramento County, California. Please pay on time.
10. Assignment of Project. Artisan Productions and Design reserves the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion. 
11. Liability Artisan Productions and Design does not warrant that the functions contained in these webpages or the Internet website will meet the client's requirements or that the operation of the webpages will be uninterrupted or error-free. The entire risk as to the quality and performance of the webpages and website is with client. In no event will Artisan Productions and Design be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these webpages or website, even if Artisan Productions and Design has been advised of the possibility of such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions. 
12. Copyrights and Trademarks. The client represents to Artisan Productions and Design and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Artisan Productions and Design for inclusion in webpages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Artisan Productions and Design and its subcontractors from any claim or suit arising from the use of such elements furnished by the client. 
13. Laws Affecting Electronic Commerce. From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The client agrees that the client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend Artisan Productions and Design and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the client's exercise of Internet electronic commerce. 
14. Copyright to Webpages. Copyright to the finished assembled work of webpages produced by Artisan Productions and Design is owned by Artisan Productions and Design. Upon final payment of this contract, the client is assigned rights to use as a website the design, graphics, and text contained in the finished assembled website. Rights to photos, graphics, source code, work-up files, and computer programs are specifically not transferred to the client, and remain the property of their respective owners. Artisan Productions and Design and its subcontractors retain the right to display graphics and other Web design elements as examples of their work in their respective portfolios. 
15. Sole Agreement. The agreement contained in this "Website Design Contract" constitutes the sole agreement between Igor Pilichev also mentioned as Artisan Productions and Design and the client regarding this website. Any additional work not specified in this contract must be authorized by a written change order. All prices specified in this contract will be honored for six (6) months after both parties sign this contract. Continued services after that time will require a new agreement. 
16. DELIVERY AND ACCEPTANCE
Upon completion of its products and/or services in accordance with the terms and conditions set forth in your Contract, Artisan Productions and Design shall deliver your product and/or service to a temporary location designated by Artisan Productions and Design for your review. Artisan Productions and Design will notify you via e-mail of such completion and delivery, and the manner in which you may access the temporary location for purposes of reviewing your product and/or service. You shall have 60 business days from the date of delivery to said temporary location to notify Artisan Productions and Design in writing of your acceptance or rejection of the product and/or service. Your failure to notify Artisan Productions and Design in writing of your rejection of the product and/or service within said 60 day period shall constitute your acceptance of the product and/or service. In the event you reject the product and/or service, you shall notify Artisan Productions and Design in writing of your rejection within said 60 day period, including a detailed explanation for such rejection, following which Artisan Productions and Design shall use commercially reasonable efforts to provide a substitute or replacement product or service as soon as practicable. Upon your written acceptance of the product or service, or any substitute or replacement product or service, Artisan Productions and Design shall release and deliver the same to you, to such location and in such format as agreed upon in your Contract. This project will be determined to be closed if we do not have written, phone or in person contact from 60 days from the last revision. The project may be re-opened only upon Artisan Productions and Design’s discretion.
Any notification in the Artisan Productions and Design panel to “finalize”, or written or verbal notification to “finalize” any project (website design, logo design, graphic design, etc.) the project will be deemed “finalized” and “completed”. Artisan Productions and Design will send you your final files via email or upload to FTP server. Finalization or acceptance of any final files of any project will fulfill Artisan Productions and Design’s Satisfaction Guaranteed policy. Any logos, brochure, web design or additional graphic design samples that were presented to you, and were NOT finalized, will remain the property of Artisan Productions and Design and may not be used in any way by you, the client, without purchasing or receiving explicit written permission from Artisan Productions and Design. 
17. Initial Payment and Refund Policy. 
The total amount of this contract is $595.00
This agreement begins with an initial payment of $297.50. If the client halts work and applies by registered letter for a refund within 30 days, to the CEO of Artisan Productions and Design, 4366 Auburn Blvd. Sacramento, CA 95841. Artisan Productions & Design will retain the following amount: Full web site package or contract amount less $250 for the first draft. Additional design costs to be charged with refund request: $150 for each draft after draft 1. Artisan Productions & Design will not provide refunds on projects that have been finalized, or if your design has been converted to HTML, PHP, ASP or flash. In no case will the refund amount exceed the pricing of your web design project. If, at the time of the request for refund, work has been completed beyond the amount covered by the initial payment, the client shall be liable to pay for all work completed at the hourly rate stated above. No portion of this initial payment will be refunded unless written application is made within 30 days of signing this contract.

RIGHT OF REFUSAL. Artisan Productions, in our sole discretion, reserve the right to refuse install Content Management System or provide any other service within the first thirty (30) calendar days from receipt of your payment for such services. In the event we do not install Content Management System on your website or provide other Artisan Productions service(s) within such thirty (30) calendar day period, we agree to refund any applicable fee(s) you have paid. You agree that we shall not be liable to you for loss or damages that may result from our service refusal.

Warranty Disclaimer
ALL ARTISAN PRODUCTIONS SERVICES ARE PROVIDED TO CUSTOMER "AS IS." ARTISAN PRODUCTIONS EXPRESSLY DISCLAIMS ANY AND ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS OF ANY KIND OR NATURE, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, REPRESENTATIONS, WARRANTIES AND CONDITIONS OF SATISFACTORY QUALITY, PERFORMANCE, MERCHANTABILITY, MERCHANTABLE QUALITY, DURABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USE OF TRADE. CUSTOMER ACKNOWLEDGES AND AGREES THAT THE INSTALLERS OF CONTENT MANAGEMENT SYSTEMS MAKE NO DIRECT WARRANTY OF ANY KIND TO THE CUSTOMER UNDER THIS AGREEMENT. (2) ARTISAN PRODUCTIONS DOES NOT REPRESENT OR WARRANT THAT: (i) THE ARTISAN PRODUCTIONS SERVICES WILL MEET THE CUSTOMER'S BUSINESS REQUIREMENTS; (ii)THE ARTISAN PRODUCTIONS SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED OR THAT THE RESULTS OBTAINED FROM ITS USE WILL BE ACCURATE OR RELIABLE; OR (iii) ALL DEFICIENCIES IN THE ARTISAN PRODUCTIONS SERVICES CAN BE FOUND OR CORRECTED. FURTHER, THE ARTISAN PRODUCTIONS SERVICES MAY BE INTERRUPTED OR UNAVAILABLE FOR THE PURPOSES OF PERFORMING MAINTENANCE OR UPGRADES. ARTISAN PRODUCTIONS WILL NOT BE RESPONSIBLE FOR:
(a) SERVICE IMPAIRMENTS CAUSED BY ACTS WITHIN THE CONTROL OF ANY CUSTOMER OR CLIENT; (b) INOPERABILITY OF SPECIFIC CUSTOMER OR CLIENT APPLICATIONS OR EQUIPMENT; (c) INABILITY OF THE CUSTOMER OR CLIENT TO ACCESS OR INTERACT WITH ANY OTHER SERVICE PROVIDER THROUGH THE INTERNET, OTHER NETWORKS OR CUSTOMERS THAT COMPRISE THE INTERNET OR THE INFORMATIONAL OR COMPUTING RESOURCES AVAILABLE THROUGH THE INTERNET; (d) INTERACTION WITH OTHER SERVICE PROVIDERS, NETWORKS, CUSTOMERS OR INFORMATIONAL OR COMPUTING RESOURCES THROUGH THE INTERNET; (e) SERVICES PROVIDED BY OTHER SERVICE PROVIDERS; OR (f) PERFORMANCE IMPAIRMENTS CAUSED ELSEWHERE ON THE INTERNET; (g) INOPERABILITY OF CONTENT MANAGEMENT SYSTEM OR UPDATED PAGE(S) CAUSED BY IMPROPER USE OF HTML CODE BY THE CLIENT.

Limit of Liability; Indemnification
(a) FOR ANY BREACH OR DEFAULT BY ARTISAN PRODUCTIONS OF ANY OF THE PROVISIONS OF THIS AGREEMENT, OR WITH RESPECT TO ANY CLAIM ARISING HEREFROM OR RELATED HERETO, ARTISAN PRODUCTIONS' ENTIRE LIABILITY, SHALL IN NO EVENT EVER EXCEED ANY OF THE FOLLOWING: (i) THE FEES PAID TO ARTISAN PRODUCTIONS BY THE CUSTOMER PURSUANT TO THIS AGREEMENT IN THE CALENDAR YEAR IN RESPECT OF WHICH THE CAUSE OF ACTION FIRST AROSE EVEN IF THE CAUSE OF ACTION IS A CONTINUING ONE, OR (ii) IN THE AGGREGATE WITH RESPECT TO ALL CLAIMS MADE UNDER OR RELATED TO THIS AGREEMENT, THE AMOUNT PAID BY CUSTOMER UNDER THIS AGREEMENT.

(b) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ARTISAN PRODUCTIONS EVER BE LIABLE FOR SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL LOSS OR DAMAGE, LOST BUSINESS REVENUE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF COVER, DAMAGES FOR DELAY, PUNITIVE OR EXEMPLARY DAMAGES, FAILURE TO REALIZE EXPECTED PROFITS OR SAVINGS OR ANY CLAIM AGAINST THE CUSTOMER BY ANY OTHER PERSON, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ARTISAN PRODUCTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF ANY SUCH LOSSES OR DAMAGES.
(c) ARTISAN PRODUCTIONS SHALL NOT BE LIABLE FOR UNAUTHORIZED ACCESS TO OR ALTERATION, THEFT, LOSS OR DESTRUCTION OF ANY CONTENT, DATA, EQUIPMENT OR THE SERVICES, INCLUDING WITHOUT LIMITATION THROUGH ACCIDENT, FRAUDULENT MEANS OR DEVICES, OR ANY OTHER METHOD.

(d) Neither party may bring an action, regardless of form, arising out of or related to this Agreement (other than to recover fees or expenses due to Artisan Productions) more than a year after the cause of action has arisen or the date of discovery of such cause, whichever is later.

(e) Artisan Productions does not guarantee that the service will be operable at all times or during any down time caused by outages to any public internet backbones, networks or servers, caused by any failures of your equipment, servers, or local access, for scheduled maintenance, or relating to events beyond our control, including but not limited to strikes, riots, insurrection, fires, floods, explosions, war, government action, labor conditions, earthquakes, natural disasters, or interruptions to internet services to an area where Artisan Productions or your servers are located.

(f) Customer agrees to indemnify and hold Artisan Productions, its affiliates, employees, officers, directors and shareholders harmless from and against any claims, suits, actions or proceedings (a "Claim") brought and damages, costs (including attorney’s fees) or judgments awarded against Artisan Productions that arise from or in connection with: (i) Claims by any person or entity (including any Client) to the extent that such Claims are based upon or arise out of the Customer’s use of the Artisan Productions Services, any of the Content provided by Customer or client of Customer or by the Customer or client of Customer’s actions; (ii) breach by the Customer of this Agreement; or (iii) the Customer or client of Customer’s failure to comply with all applicable laws.
(g)

Modifications To Service 
Artisan Productions reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Artisan Productions Services (or any part thereof) with or without notice. Customer agrees that Artisan Productions shall not be liable to Customer or to any third party for any modification, suspension or discontinuance of the Service, except that if Artisan Productions discontinues the Services, Customer shall be entitled to the refund of any unearned fees for those Services.

Waiver and Amendment
Any waiver, modification, or amendment of any provision of the TOS or other agreement for Artisan Productions Services, initiated by a Customer, will be effective only if accepted in writing and signed by an authorized representative of Artisan Productions.

Independent Contractors
Nothing in this Agreement will be construed as creating a partnership or relationship of employer and employee, principal and agent, partnership or joint venture between Artisan Productions and its Customer. Each party will be deemed an independent contractor at all times and will have no right or authority to assume or create any obligation on behalf of the other, except as may be expressly provided herein.

General
(a) Notice. Any notice under this Agreement will be in writing and delivered by personal delivery, overnight courier, confirmed facsimile, confirmed e-mail, or certified or registered mail, return receipt requested, and will be deemed given upon personal delivery, 1 day after deposit with an overnight courier, 5 days after deposit in the mail, or upon confirmation of receipt of facsimile or email.

(b) Force Majeure. If the performance of this Agreement, or any obligation thereunder except the making of payments hereunder is prevented, restricted, or interfered with by reason of: fire, flood, earthquake, explosion or other casualty or accident or act of God; strikes or labor disputes; inability to procure or obtain delivery of parts, supplies, power, telecommunication services, equipment or software from suppliers, war or other violence; any law, order proclamation, regulation, ordinance, demand or requirement of any governmental authority; or any other act or condition whatsoever beyond the reasonable control of the affected party, the party so affected shall be excused from such performance to the extent of such prevention, restriction or interference; provided, however, that the party so affected shall take reasonable steps to avoid or remove such cause of non-performance and shall resume performance hereunder with dispatch whenever such causes are removed.

(c) Severability. To the extent that any provision, portion or extent of this Agreement is deemed to be invalid, illegal or unenforceable, such provision, portion or extent shall be severed and deleted or limited so as to give effect to the intent of the parties insofar as possible and the remainder of this Agreement, as the case may be, shall remain binding upon the parties.

(d) Entire Agreement. This Agreement sets forth the entire understanding and agreement of the parties, and supersedes any and all oral or written agreements or understandings between the parties, as to the subject matter of the Agreement.

(g) Attorney’s fees. If Artisan Productions takes any action to enforce this Agreement, Artisan Productions will be entitled to recover from Customer, and Customer agrees to pay, all reasonable and necessary attorney's fees and any cost of litigation, in addition to any other relief, at law or in equity, to which Artisan Productions may be entitled.

(h) Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of California without reference to its conflict or choice of law rules or principles. Customer hereby submits to the exclusive jurisdiction of the state and federal courts of the State of Californiafor any legal action arising out of this Agreement or the performance of the obligations hereunder.
